01 — Acceptance of Terms
By accessing or using talonyx.ai (the "Site"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use the Site. These Terms apply to all visitors, prospective customers, and others who access the Site.
02 — About Talonyx
Talonyx Inc. is an Alberta corporation developing ORILink, a pre-inference security middleware platform for AI agents. The Site provides information about Talonyx's products and services, allows prospective customers to submit inquiries, and allows customers to purchase ORILink Business software licenses.
03 — Use of the Site
You may use the Site only for lawful purposes and in accordance with these Terms. You agree not to:
- Use the Site in any way that violates applicable federal, provincial, or local law or regulation
- Attempt to gain unauthorized access to any part of the Site or its infrastructure
- Transmit any unsolicited or unauthorized advertising or promotional material
- Engage in any conduct that restricts or inhibits anyone's use or enjoyment of the Site
- Use automated tools to scrape, crawl, or extract data from the Site without permission
04 — Purchases and License Terms
The Site allows customers to purchase annual ORILink Business licenses. Payment is processed by Stripe, Talonyx's third-party payment processor; Talonyx does not collect or store payment card details. By completing a purchase, you enter into the ORILink Business End User License Agreement ("EULA"), which governs your license to and use of the Software, including license tiers, agent limits, fees, renewal, and termination. In the event of a conflict between these Terms and the EULA with respect to the Software, the EULA governs.
Prices displayed on the Site are in U.S. dollars and may change; the price in effect at the time of purchase applies. Talonyx reserves the right to refuse or cancel any order, including in cases of suspected fraud or pricing error, in which case any amounts paid will be refunded.
05 — Inquiries
Submitting a contact form does not constitute a binding agreement, contract, or commitment by either party. Enterprise licensing terms are negotiated separately and are subject to execution of a formal agreement. Talonyx reserves the right to accept or decline any inquiry at its sole discretion.
06 — Intellectual Property
All content on the Site — including text, graphics, logos, and software descriptions — is the property of Talonyx Inc. or its licensors and is protected by Canadian and international copyright, trademark, and other intellectual property laws. The ORILink platform is patent pending.
You may not reproduce, distribute, modify, or create derivative works of any Site content without prior written permission from Talonyx.
07 — No Warranty
THE SITE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. TALONYX DOES NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.
08 — Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, TALONYX SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SITE. TALONYX'S TOTAL LIABILITY FOR ANY CLAIM ARISING FROM THESE TERMS SHALL NOT EXCEED ONE HUNDRED CANADIAN DOLLARS ($100 CAD).
09 — Third-Party Links
The Site may contain links to third-party websites. These links are provided for convenience only. Talonyx has no control over the content of those sites and accepts no responsibility for them or for any loss or damage that may arise from your use of them.
10 — Privacy
Your use of the Site is also governed by our Privacy Policy, available at talonyx.ai/privacy, which is incorporated into these Terms by reference.
11 — Modifications
Talonyx reserves the right to modify these Terms at any time. Changes will be posted on this page with an updated effective date. Your continued use of the Site after changes are posted constitutes acceptance of the updated Terms.
12 — Governing Law and Jurisdiction
These Terms are governed by and construed in accordance with the laws of the Province of Alberta and the federal laws of Canada applicable therein. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts of Alberta, Canada.
